Terms and Conditions for VISITORS ("Terms")

  1. Definitions

    Under these Terms, the following terms shall have the following meanings, unless the context requires otherwise:

    1. "Account" means an account of the Site registered by either a Guide or a Traveler;
    2. "Guide" means a person who has registered as a Guide of MeGuideU via the Site;
    3. "MeGuideU" or "us" means ovenbaked ideas pte ltd.
    4. "Traveler" means a person who has registered as a Traveler of MeGuideU via the Site;
    5. "Services" means the guide services that the Guide agrees to provide to the Traveler;
    6. "Site" means http://meguideu.com and all other websites operated and provided by MeGuideU to facilitate the booking of Services between Guides and Travelers;
    7. "Visitor" or "you" means a person visiting the Site who has not registered for an Account.
  2. Website Access and Grant of Limited Licence

    1. Subject to compliance with the terms and conditions of these Terms, MeGuideU grants you a limited, non-exclusive, non-transferable license, to access and view any content to which you are permitted access to solely for personal and non-commercial purposes. You shall have no right to sublicense the license rights granted in this section.
    2. You shall not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Site, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by you or you licensors, except for the licences and rights expressly granted in these Terms.
  3. No Offer

    The information on this Site is for general informational purposes only. Information on this Site does not constitute a binding offer. Binding agreements with Guides on the Site require a booking request made through the Site and the Guide's acceptance of the booking request according to MeGuideU's Terms.

  4. Site use restrictions

    1. You must comply with the Site's Terms and any other applicable policies. MeGuideU may amend the Terms and policies from time to time. You will be informed of any changes to these Terms and policies via email and through the Site. You agree that any continued use of the Site after such amendment will constitute your acceptance of an agreement to be bound by the modified Terms and policies.
    2. You are not allowed to post any content on the Site.
    3. You are not allowed to view the contact details of Guides and Travelers.
    4. You further understand and agree that you shall solely responsible for compliance with any and all laws, rules and regulations that may apply to the use of the Site. In connection with your use of the Site, you may not and agree that you will not:
      1. use the Site for any commercial or other purposes that are not expressly permitted by these Terms;
      2. copy, store or otherwise access any information contained on the Site for purposes not expressly permitted by these Terms;
      3. infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
      4. interfere with or damage the Site, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
      5. use the Site to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers;
      6. use our Site in connection with the distribution of unsolicited commercial email ("spam");
      7. "stalk" or harass any other Traveler, Guide or Visitor of the Site or collect or store any personally identifiable information about any other user;
      8. register for more than one Account on the Site or register for an Account on behalf of another individual;
      9. impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
      10. use automated scripts to collect information or otherwise interact with the Site;
      11. post, upload, publish, submit or transmit any content that:
        1. infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
        2. violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
        3. is fraudulent, false, misleading or deceptive;
        4. is defamatory, obscene, pornographic, vulgar or offensive;
        5. promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
        6. is violent or threatening or promotes violence or actions that are threatening to any other person;
        7. promotes illegal or harmful activities or substances; or
        8. would otherwise render us liable or expose us to any proceedings whatsoever;
      12. systematically retrieve data or other content from the Site to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;
      13. use, display, mirror or frame the Site, or any individual element within the Site, any trademark, logo or other proprietary information belonging to us, or the layout and design of any page or form contained on a page, without our express written consent;
      14. access, tamper with, or use non-public areas of the Site, our computer systems, or the technical delivery systems of our providers;
      15. attempt to probe, scan, or test the vulnerability of the Site, our computer systems or network or breach any security or authentication measures;
      16. avoid, bypass, remove, deactivate, impair, descrambler, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party to protect the Site;
      17. forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site to send altered, deceptive or false source-identifying information;
      18. attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site; or
      19. advocate, encourage, or assist any third party in doing any of the foregoing.
  5. Disclaimers & Limitation

    1. You understand that the Site does not provide any guide services itself but is merely a platform for Travelers to source out and engage suitable Guides for their trips or tours. The Site, accordingly, does not make any warranties or representations whatsoever as to the identity, qualifications and/or licensed status, if applicable, of any Guide or regarding the suitability, experience or quality of services to be provided by any Guide.
    2. Access and use of the Site is also provided on an `as is' basis and no warranties are made that the Site is or will be adequate or sufficient for any purpose or will meet your expectations or requirements or will be uninterrupted, timely, secure, error-free or free from any computer virus or other invasive or damaging code.
    3. MeGuideU assumes no responsibility and makes no warranties that any of the information contained in the Site, whether published by the Site or by any Guide or Traveler, is complete, correct and/or error-free or adequate or sufficient for any purpose.
    4. MeGuideU will under no circumstances be liable for any of the following losses or damage (whether or not such losses where foreseen, foreseeable, known or otherwise):
      1. loss of data;
      2. loss of revenue or anticipated profits;
      3. loss of business;
      4. loss of opportunity;
      5. loss of goodwill or injury to reputation;
      6. losses suffered by third parties; or
      7. any indirect, consequential, special or exemplary damages, arising from the use of the Site regardless of the form of action.
    5. MeGuideU will not be responsible for any delays or non-performance of any obligation caused by any force majeure event or any event beyond its reasonable control.
    6. Except for any liability which cannot be excluded by law, MeGuideU shall not be liable to you for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise, including but not limited to any loss of actual or anticipated profits or income, contracts or business opportunities, claims, costs and expenses whatsoever, whether or not such loss or damage is foreseeable or known.
  6. Site Administration Powers

    1. MeGuideU has full system administration rights and/or entitlements over the Site.
    2. Without limiting the above, MeGuideU shall be entitled, in its discretion and without liability to you, with or without cause, with or without prior notice and at any time, to block or restrict any Visitor's access to the Site.
  7. Waiver

    MeGuideU's failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. No waiver of any rights or remedies by MeGuideU shall be effective unless made in writing and signed by an authorised representative of MeGuideU.

  8. Indemnity

    As a Visitor, you shall agree to indemnify, defend and hold harmless MeGuideU, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and actions, due to or arising out of your use of the Site, your access or connection to the Site, your violation of these Terms, or your violation of any rights of another. These obligations will survive any termination of your relationship with MeGuideU or your use of the Site. MeGuideU reserves the right to assume the defence and control of any matter subject to indemnification by you, in which event you will cooperate with MeGuideU in asserting any available defences.

  9. Jurisdiction

    Your access to or use of the Site, as well as these Terms shall be governed by, and construed in accordance with Singapore laws and you shall agree to submit to the exclusive jurisdiction of the Singapore courts. This Site is owned and operated by MeGuideU in Singapore. MeGuideU makes no representation that the contents of the Site are appropriate or available for use in the Visitor's location. A Visitor who chooses to access this Site from any location does so on his own initiative and shall be responsible for compliance with local laws, if and to the extent local laws are applicable.

  10. Severability

    If any part of these Terms is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect.

  11. Assignment

    You shall not assign, transfer or encumber any or all of its rights, interests and obligations under these Terms, by operation of law or otherwise, without the prior written consent of MeGuideU. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

  12. Privacy

    As a Visitor, you agree to comply with the terms of our Privacy Policy. Please refer to MeGuideU's privacy policy at < http://www.meguideu.com/policies/ > for information and notices concerning MeGuideU's collection and use of your personal information.

Terms and Conditions for TRAVELERS ("Terms")

These Terms govern your access to and use of the Site and constitutes a binding legal agreement between you and MeGuideU. Please read carefully these Terms and our Privacy Policy, which may be found at < http://www.meguideu.com/policies > ("Privacy Policy"), and which is incorporated by reference into these Terms. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site.

  1. Definitions

    Under these Terms, the following terms shall have the following meanings, unless the context requires otherwise:

    1. "Account" means an account of the Site registered by either a Guide or a Traveler;
    2. "Administration Fee" means the fee, calculated at 15% of the Booking Fee, to be retained by the Site following a completed assignment, a late cancellation by a Traveler or a 'no-show' by a Traveler;
    3. "Booking Fee" means the aggregate price to be paid by a Traveler to procure guide services through the Site (including the Administration Fee and the Guide Fee);
    4. "Guide Fee" means the balance of the Booking Fee less the Administration Fee, to be paid by us to the Guide following a completed assignment, a late cancellation by a Traveler or a `no-show' by a Traveler;
    5. "Guides" means a person who has registered as a Guide of MeGuideU via the Site;
    6. "MeGuideU" or "us" means ovenbaked ideas pte ltd
    7. "PayPal" means PayPal Pte Ltd and its related companies, who provide the on-line payment service called 'PayPal';
    8. "Traveler" or "you" means a person who has completed MeGuideU's account registration process as described in Clause 2 below;
    9. "Traveler Account" means the user account on the Site created after a Traveler has completed MeGuideU's account registration process as described in Clause 2 below;
    10. "Services" means the guide services that the Guide agrees to provide to the Traveler;
    11. "Services Start Time" means the prescribed starting date and time for the provision of the Services as specified in the on-line booking form;
    12. "Site" means http://meguideu.com and all other websites operated and provided by MeGuideU to facilitate the booking of Services between Guides and Travelers;
    13. "Skype" means the internet communication software applications and services provided by Skype Software S.a.r.l;
    14. "Visitor" means a person visiting the Site who has not registered for an Account.
  2. Registration

    1. All Travelers must register a Traveler Account with the Site, in the prescribed manner, before they can confirm a booking or post any information on the Site.
    2. By registering for an account on the Site, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Site's registration form. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Traveler Account.
    3. You must be at least 18 years old to register for a Traveler Account.
    4. Travelers may only have one (1) Traveler Account with the Site and all Traveler Accounts created are strictly non-transferable.
    5. MeGuideU reserves the right to decline any application to register a Traveler Account at its sole discretion.
  3. Account Security

    1. As a Traveler, you are responsible for safeguarding your password and you shall not disclose your password to any third party.
    2. You agree to take sole responsibility for any activities or actions under your Account, whether or not you have authorised such activities or actions. You will immediately notify the Site of any unauthorised use of your Account.
  4. No offer

    The information on this Site is for general informational purposes only. Information on this Site does not constitute a binding offer. Binding agreements with Guides on the Site require a booking request made through the Site and the Guide's acceptance of the booking request according to these Terms.

  5. Site Terms of Use

    1. You must comply with the Site's Terms and any other applicable policies. MeGuideU may amend the Terms and policies from time to time. You will be informed of any changes to these Terms and policies via email and through the Site. You agree that any continued use of the Site after such amendment will constitute your acceptance of an agreement to be bound by the modified Terms and policies.
    2. You acknowledge and agree that you are solely responsible for any content that you make available through the Site ("Traveler Content"). You warrant that:-
      1. you either are the sole and exclusive owner of all Traveler Content that you make available through the Site, or you have all rights, licenses, consents and releases that are necessary to grant to us the rights in such Traveler Content, as contemplated under these Terms; and
      2. neither the Traveler Content nor your posting, uploading, publication, submission or transmittal of the Traveler Content or our use of the Member Content (or any portion thereof) on, through or by means of the Site, will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
    3. By making available any Traveler Content on or through the Site you hereby grant us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free licence, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Traveler Content on, through, or by means of the Site.
    4. You understand that you shall remain responsible for any content posted by you on the Site and agree not to cause, nor knowingly allow others to cause, any nuisance, annoyance, or inconvenience, whether to the Site or any of its Travelers, Guides or visitors of the Site by any means.
    5. You further understand and agree that you shall be solely responsible for compliance with any and all laws, rules and regulations that may apply to the use of the Site. In connection with your use of the Site, you may not and agree that you will not:
      1. use the Site for any commercial or other purposes that are not expressly permitted by these Terms;
      2. copy, store or otherwise access any information contained on the Site for purposes not expressly permitted by these Terms;
      3. infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
      4. interfere with or damage the Site, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
      5. use the Site to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers;
      6. use our Site in connection with the distribution of unsolicited commercial email ("spam");
      7. "stalk" or harass any other Traveler, Guide or Visitor of the Site or collect or store any personally identifiable information about any other user other than for purposes of transacting as a Traveler;
      8. register for more than one Account on the Site or register for an Account on behalf of another individual;
      9. contact a Guide for any purpose other than asking a question related to a booking;
      10. when acting as a Traveler or otherwise, recruit or otherwise solicit any Guide or other Traveler to join third party services or websites that are competitive to us, without our prior written approval;
      11. impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
      12. use automated scripts to collect information or otherwise interact with the Site;
      13. use the Site, to find a Guide and then complete a booking of a tour independent of our services, in order to circumvent the obligation to pay any Administration Fees related to the booking of a tour;
      14. post, upload, publish, submit or transmit any content that:
        1. infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
        2. violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
        3. is fraudulent, false, misleading or deceptive;
        4. is defamatory, obscene, pornographic, vulgar or offensive;
        5. promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
        6. is violent or threatening or promotes violence or actions that are threatening to any other person;
        7. promotes illegal or harmful activities or substances; or
        8. would otherwise render us liable or expose us to any proceedings whatsoever;
      15. systematically retrieve data or other content from the Site to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;

      20. forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site to send altered, deceptive or false source-identifying information;
      21. attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site; or
      22. advocate, encourage, or assist any third party in doing any of the foregoing.
    6. Caching, hyperlinking to, and framing of the Site or any of the contents are strictly prohibited. MeGuideU reserves all rights to disable any links to, or frames of any site containing inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topics, names, material or information, or material or information that violates any written law, any applicable intellectual property, proprietary, privacy or publicity rights.
  6. Pre-Selection Interview

    1. You are entitled and strongly encouraged to arrange pre-selection interviews with shortlisted Guides before confirming a booking ("Pre-Selection Interview"). Such interviews may be arranged through any means mutually agreed between you and the Guide, including but not limited to Skype.
    2. You acknowledge and agree that the Site and MeGuideU has no control over and is not responsible for any representations made during the Pre-Selection Interviews.
    3. Note that any representations and assurances made or given during a Pre-Selection Interview are not binding unless expressly contained in the Guide's final proposal.
  7. Booking process and fee payment

    1. You may book a tour on the Site by either (i) posting your intended travel plans on the Site or (ii) signing up for pre-planned tours by Guides.
      1. Posting intended travel plans on the Site—You will have to post details of your intended travel plans, including location, estimated dates of travel, group size, group age and preferred guide requirements on the Site for Guides to review and consider. Interested Guides will contact you through the Site with their preliminary comments and proposals. You will then be allowed to review the proposals, shortlist the potential guides and conduct Pre-Selection Interviews and negotiate in-principle agreements with the Guides via the Site's online messaging system regarding the intended itinerary, fees and other applicable requirements and conditions. Once you have reached an in-principle agreement with a Guide, you may proceed to notify the selected Guide through the Site.
      2. Signing up for pre-planned tours by Guides—Guides may also post proposed itineraries on the Site. These proposed itineraries will contain details including the location, dates of travel, group size and age requirements. If you are interested in a particular itinerary posted by a Guide, you may contact the relevant Guide, conduct Pre-Selection Interviews and negotiate details of the itineraries with the Guide via the Site's online messaging system. Once you have reached an in-principle agreement with a Guide, you may proceed to notify the selected Guide through the Site.
    2. After the steps outlined in Clause 7.1.1 or 7.1.2 have been duly completed, the selected Guide will then prepare a final proposal which contains all relevant information and agreed terms, including the Booking Fee and send the proposal to you for acceptance via the Site's online booking form. You will have a minimum of 72 hours to review and confirm the details in the booking, failing which the offer will lapse but this will be subject to re-instatement by the selected Guide.
    3. Once you have verified the details in the on-line booking form, you may confirm your booking by clicking on the 'Book Now' button.
    4. After clicking on the 'Book Now' button, you will be directed to the Site's payment gateway to pay the applicable Booking Fee via PayPal.
    5. The booking will be confirmed immediately upon successful payment of the Booking Fee. Any changes to the booking following confirmation will be subject to the Site's cancellation and amendment policies.
  8. Amendments to Confirmed Bookings

    1. You may amend confirmed bookings only in accordance with this Clause 8.
    2. Amendments to confirmed bookings are subject to the mutual consent of the Guide and you.
    3. Amendments should be made only through the Site's on-line booking amendment system.
    4. You should promptly inform us if any Guide attempts or seeks to effect any amendments to a confirmed booking outside the Site's on-line booking amendment system.
    5. You should request for amendments at least 72 hours prior to the Services Start Time. Your Guide and the Site shall have the right not to process any amendment requests made less than 72 hours prior to the Services Start Time.
    6. Any amendments that result in an increase in the Booking Fee payable (the difference in this case shall be referred to as the "Booking Fee Shortfall") are subject to the payment of the Booking Fee Shortfall by you prior to confirmation of the amended booking.
    7. Amendments which result in a decrease in the Booking Fee payable (the difference in this case shall be referred to as the "Excess Booking Fee") will be processed in accordance with the following refund provisions:
      1. amendments confirmed at least 72 hours before the Services Start Time, will entitle the Traveler to a 100% refund of the Excess Booking Fee;
      2. amendments confirmed less than 72 hours before the Services Start Time but more than 24 hours before the Services Start Time, will entitle the Traveler to a 80% refund of the Excess Booking Fee; or
      3. amendments confirmed less than 24 hours before the Services Start Time, will not entitle the Traveler to any refund of the Excess Booking Fee.
  9. Booking Cancellation, Punctuality and No-Show by the Guide

    1. The Guide may cancel a confirmed booking for the Services, through the Site's on-line booking cancellation system, at any time before the Services Start Time, whereupon you will be entitled to a full refund of the Booking Fee paid.
    2. If the Guide purports to cancel a confirmed booking otherwise than through the Site, you shall be entitled to a full refund of the Booking Fee paid provided that you take reasonable steps to inform the Site of such cancellation, furnishing satisfactory evidence thereof (if available), as soon as practicable after becoming aware of the cancellation, and/or to the Site duly verifying such cancellation directly with the relevant Guide, if deemed necessary.
    3. In the event that the Guide fails to arrive at the agreed meeting point, as specified in the on-line booking form ("Services Meeting Point"), within 30 minutes of the Services Start Time, you may elect to:
      1. treat this as a no-show event on the part of the selected Guide, in which case you will be refunded the full Booking Fee paid, subject to you taking reasonable steps to inform the Site of this fact and of your election as soon as practicable after the Services Start Time, furnishing satisfactory supporting evidence if available), and to the Site duly verifying the fact directly with the relevant Guide, if deemed necessary; or
      2. waive the delay and proceed with the confirmed booking, subject to appropriate adjustments to the itinerary (to be discussed and agreed between you and the Guide) to accommodate the delay.
    4. Other than refunds expressly required to be made by the Site in accordance with the aforesaid refund provisions, the Site shall not be responsible and shall have no further liability to you whatsoever for any cancellation, delay or no-show by a selected Guide, regardless of the circumstances in which such cancellation, delay or no-show occurs
  10. Booking Cancellation, Punctuality & No-Show by the Traveler

    1. All cancellations must be made through the Site's on-line booking cancellation system.
      1. Cancellation requests made at least 72 hours before the Services Start Time will be free of charge.
      2. Cancellation requests made less than 72 hours but more than 24 hours before the Services Start Time will be subject to a charge of 20% of the Booking Fee.
      3. Cancellation requests made less than 24 hours before the Services Start Time are considered a "no-show" and will be charged the full Booking Fee.
    2. Other than payments made in accordance with the Site's refund provisions, the Site is not responsible for any cancellations by either you or the Guide, regardless of the circumstances in which the cancellation occurs
    3. If you fail to arrive at the Services Meeting Point within 30 minutes of the Services Start Time, the Guide may elect to:
      1. treat this as a no-show event on your part, subject to the Guide taking reasonable steps to inform the Site of this fact and of the Guide's election as soon as practicable after the Services Start Time, furnishing satisfactory supporting evidence if available), and to the Site duly verifying the fact directly with you, if deemed necessary, in which case the Guide will be entitled to treat the booking as abortive and to depart from the Services Meeting Point but you shall, nonetheless, be charged the full Booking Fee paid; or
      2. waive the delay and proceed with the confirmed booking, subject to appropriate adjustments to the itinerary (to be discussed and agreed between you and the Guide) to accommodate the delay.
  11. Evidence of Meeting

    1. Upon meeting each other for the first time at the Services Meeting Point, you and the Guide shall, where reasonably practicable, cooperate with each other to take and to each retain a collective photograph of both you and the Guide, which shall, as far as possible, be both date and time stamped.
    2. In the event of any dispute concerning a no-show, the absence of such photograph, together with a notification from you to the Site of a no-show on the part of the Guide, or vice versa, shall be prima facie evidence of that fact.
  12. Complaints and Disputes with Guides

    1. You are solely responsible for your own interactions with the Guide.
    2. The Site and MeGuideU has no control over and accepts no responsibility for any acts or omissions on the part of either you or the Guide in the course of your interactions with each other or for any injury, loss or damage resulting from such interactions.
    3. If you encounter a Guide acting or behaving in any way inappropriately or illegally, you should as soon as practicable proceed to lodge a police report with the relevant authorities in the relevant jurisdiction. Notwithstanding the foregoing, the Site is interested to monitor the behavior, reputation and/or credibility of the Guides and any Traveler who has filed a police report or who feels a complaint against a Guide is nonetheless warranted is strongly encouraged to submit a written complaint to the Site "complaint@meguideu.com" ("Traveler Complaint"), attaching the report, where applicable.
    4. If MeGuideU does not receive any Traveler Complaint within 48 hours after the prescribed ending date and time for the provision of any confirmed guide services, as set out in the on-line booking form ("Services End Time"), MeGuideU reserves the right to proceed to forward payment of any applicable Guide Fee to the Guide.
    5. If MeGuideU receives a Traveler Complaint within 48 hours after the Services End Time, MeGuideU shall not be obliged to conduct any investigations or to take any follow on action but may do so, in its absolute discretion.
    6. If MeGuideU decides to investigate the complaint and determines, in its sole and absolute discretion, that the complaint has some merit and/or that some violation of the Site's terms of use and/or policies has occurred, the Site may, again in its sole and absolute discretion, take such action as it deems appropriate in the circumstances, including blacklisting or banning the relevant Guide from the Site, withholding any Guide Fee otherwise due to such Guide and/or refunding all or part of such Guide Fee to the Traveler, in the form of a goodwill compensation.
  13. Traveler Responsibilities

    1. As a Traveler, you must conduct your own investigations and/or assessment as to the veracity of any claims by the Guides and of the suitability of the Guides for the Services.
    2. It is your responsibility, regardless of nationality and destination, to check with the consulate of the country you are visiting for current entry requirements.
  14. Disclaimers & Limitation

    1. You understand that the Site does not provide any guide services itself but is merely a platform for Travelers to source out and engage suitable Guides for their trips or tours. The Site, accordingly, does not make any warranties or representations whatsoever as to the identity, qualifications and/or licensed status, if applicable, of any Guide or regarding the suitability, experience or quality of services to be provided by any Guide
    2. Access and use of the Site is also provided on an `as is' basis and no warranties are made that the Site is or will be adequate or sufficient for any purpose or will meet the expectations or requirements of any Traveler or will be uninterrupted, timely, secure, error-free or free from computer virus or other invasive or damaging code.
    3. MeGuideU assumes no responsibility and makes no warranties that any of the information contained in the Site, whether published by the Site or by any Guide, Traveler or visitor to the Site, is complete, correct and/or error-free or adequate or sufficient for any purpose.
    4. MeGuideU will under no circumstances be liable for any of the following losses or damage (whether or not such losses where foreseen, foreseeable, known or otherwise):
      1. loss of data;
      2. loss of revenue or anticipated profits;
      3. loss of business;
      4. loss of opportunity;
      5. loss of goodwill or injury to reputation;
      6. losses suffered by third parties; or
      7. any indirect, consequential, special or exemplary damages, arising from the use of the Site regardless of the form of action.
    5. MeGuideU will under no circumstance be liable for any losses or damage resulting from arrangements made directly between a Traveler and a Guide, the terms of which are not expressly recorded using the Site's on-line booking system.
    6. MeGuideU will not be responsible for any delays or non-performance of any obligation caused by any force majeure event or any event beyond its reasonable control.
    7. Except for any liability which cannot be excluded by law, MeGuideU shall not be liable to the Traveler for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise, including but not limited to any loss of actual or anticipated profits or income, contracts or business opportunities, claims, costs and expenses whatsoever, whether or not such loss or damage is foreseeable or known.
    8. In no event shall MeGuideU's aggregate liability to any Traveler arising out of or in connection with these terms of use or otherwise in connection with any services or facilities offered pursuant to the Site exceed the Booking Fee actually paid to and received by MeGuideU.
  15. Release, Waiver and Indemnity Agreement

    1. The Traveler shall agree to indemnify, defend and hold harmless MeGuideU, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and actions, due to or arising out of his/her use of the Site, his/her access or connection to the Site, his/her violation of these Terms, or his/her violation of any rights of another. These obligations will survive any termination of his/her relationship with MeGuideU or his/her use of the Site. MeGuideU reserves the right to assume the defence and control of any matter subject to indemnification by the Traveler, in which event he/she will cooperate with MeGuideU in asserting any available defences.
    2. The Traveler hereby assumes all risks involved in his/her participation in any tour provided by MeGuideU.
    3. The Traveler hereby releases, waives, discharges and covenant not to sue MeGuideU, its principals and partners, and its employees and tourist guides, and each of them (the “Releasees”) from all liability to the Traveler, his/her personal representatives, assignees, heirs and next-of-kin for any loss on account of injury (including death) or damage to property of the Traveler arising from or during the provision of the Services.
    4. The Traveler hereby agree to indemnify, save and hold harmless the Releasees, and each of them, from any loss, liability, damage or cost that they may incur or losses and damages which may be brought against him/her or against any of them by anyone claiming to be injured (including death) or whose property is damaged as a result of his/her actions arising from or during the provision of the Services.
    5. The Traveler shall further expressly agrees that the foregoing Release, Waiver and Indemnity Agreement is intended to be as broad and inclusive as is permitted in the City State of Singapore and that if any portion thereof is held to be invalid it is agreed that the balance of the Agreement shall continue in full force and effect.
  16. Site Administration Powers

    1. MeGuideU has full system administration rights and/or entitlements over the Site and all Traveler and Guide accounts.
    2. Without limiting the above, MeGuideU shall be entitled, in its discretion and without liability to the Traveler, with or without cause, with or without prior notice and at any time, to:
      1. monitor the usage of any Traveler account and/or the content placed on the Site by any Traveler;
      2. suspend, de-activate and/or terminate any Traveler account;
      3. block or restrict any Traveler's access to the Site; and
      4. reject, block and/or remove any content placed on the Site by any Traveler.
  17. Effect of Termination/De-activation/Cancellation of Traveler Account

    1. Notwithstanding any suspension, de-activation or termination of a Traveler's Account or any other restriction imposed by the Site on any Traveler's ability to access his account or the Site, such Traveler shall remain liable for any accrued debts and/or liabilities owing from the Traveler to the Site.
    2. If, upon the de-activation or termination of any Traveler Account, the Site holds monies to the credit of such account, the Site will use all reasonable commercial efforts to pay such monies to the Traveler by remitting the same to the payment source or account initially used by the Traveler to pay the Booking Fee; provided always that if the Site is unable to effect such remittance for any reason (due to the subsequent closure of such initial account or otherwise), the Site shall be entitled to retain the relevant monies as processing costs.
    3. You may cancel your Traveler Account at any time by writing an email to info@meguideu.com and state your name and link to your account.
    4. In the event that a Traveler's account is deactivated or cancelled, the Site will not be obliged to delete or return to the Traveler any Content which such the Traveler has posted on the Site, including, but not limited to, any reviews or feedback, but may, in its discretion, continue to display any previously published content by such Traveler.
  18. Waiver

    MeGuideU's failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. No waiver of any rights or remedies by MeGuideU shall be effective unless made in writing and signed by an authorised representative of MeGuideU.

  19. Force Majeure

    1. Neither the Guide, Traveler or the Site shall be liable for any failure to perform his/her/its obligations under any confirmed tour booking and the Traveler shall be entitled to a refund of the Booking Value paid, if the failure results from a Force Majeure Event (defined below), provided always that whenever possible, the affected party will resume that obligation as soon as the Force Majeure Event occasioning the failure ceases or abates.
    2. For purposes of these Terms and Conditions, a "Force Majeure Event" is an event which is a circumstance or event beyond the reasonable control of a party which affects the general public in that party's country or in the territory, and which results in the party being unable to observe or perform on time an obligation under this Agreement. Such circumstance or event shall include industrial action or labour disputes, civil unrest, war or threat of war, criminal or terrorist acts, government action or regulation, telecommunication or utility failures, power outages, fire, explosion, natural physical disasters, epidemic, quarantine restrictions, and general failure of public transport.
  20. Jurisdiction

    Your access to or use of the Site, as well as these Terms shall be governed by, and construed in accordance with Singapore laws and you agree to submit to the exclusive jurisdiction of the Singapore courts. This Site is owned and operated by MeGuideU in Singapore. MeGuideU makes no representation that the contents of the Site are appropriate or available for use in your location. A Traveler who chooses to access this Site from any location does so on his own initiative and shall responsible for compliance with local laws, if and to the extent local laws are applicable.

  21. Severability

    If any part of these Terms is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect.

  22. Assignment

    You shall not assign, transfer or encumber any or all of its rights, interests and obligations under these Terms, by operation of law or otherwise, without the prior written consent of MeGuideU. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

  23. Privacy

    As a Traveler, you agree to comply with MeGuideU's Privacy Policy. Please refer to MeGuideU's Privacy Policy at <http://www.meguideu.com/policies> for information and notices concerning MeGuideU's collection and use of your personal information.

Terms and Conditions for GUIDES ("Terms")

These Terms govern your access to and use of the Site and constitutes a binding legal agreement between you and MeGuideU. Please read carefully these Terms and our privacy policy, which may be found at [www.meguideu.com/policies] (“Privacy Policy”), and which is incorporated by reference into these Terms. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site.

  1. Definitions

    Under these Terms, the following terms shall have the following meanings, unless the context requires otherwise:

    1. "Account" means an account of the Site registered by either a Guide or a Traveler;
    2. "Administration Fee" means the fee, calculated at 15% of the Booking Fee, to be retained by the Site following a completed assignment, a late cancellation by a Traveler or a 'no-show' by a Traveler;
    3. "Booking Fee" means the aggregate price to be paid by a Traveler to procure guide services through the Site (including the Administration Fee and the Guide Fee);
    4. "Guide Account" means the user account on the Site created after a Guide has completed MeGuideU’s account registration process as described in Clause 2 below;
    5. "Guide Fee" means the balance of the Booking Fee less the Administration Fee, to be paid by us to the Guide following a completed assignment, a late cancellation by a Traveler or a `no-show’ by a Traveler;
    6. "Guides" or "You" means a person who has registered as a Guide after completing MeGuideU’s account registration process as described in Clause 2 below;
    7. "MeGuideU" or "us" means ovenbaked ideas pte ltd
    8. "PayPal" means PayPal Pte Ltd and its related companies, who provide the on-line payment service called ‘PayPal; and, where the context requires, PayPal shall also mean such online payment service itself;
    9. "Traveler" means a person who has completed MeGuideU’s account registration process as described in Clause 2 below;
    10. "Services" means the guide services that the Guide agrees to provide to the Traveler;
      "Services Start Time" means the prescribed starting date and time for the provision of the Services as specified in the on-line booking form;
    11. "Site" means http://meguideu.com and all other websites operated and provided by MeGuideU to facilitate the booking of Services between Guides and Travelers;
    12. "Skype" means the internet communication software applications and services provided by Skype Software S.a.r.l;
    13. "Visitor" means a person visiting the Site who has not registered for an Account.
  2. Registration

    1. All Guides must register an account with the Site, in the prescribed manner, before they can respond to booking requests and post itineraries on the Site.
    2. By registering for a Guide Account, you agrees to provide and maintain true, accurate, current and complete information about yourself as prompted by the Site's registration form. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Guide Account.
    3. You must be at least 18 years old to register for a Guide Account.
    4. Guides may only have one (1) Guide Account with the Site and all Guide Accounts created are strictly non-transferable.
    5. MeGuideU reserves the right to decline any application to register a Guide Account at its sole discretion.
  3. Account Security

    1. As a Guide, you are responsible for safeguarding the password to your Guide Account and you shall not disclose your password to any third party. MeGuideU will not be liable for any loss or damage arising from a failure to do so.
    2. You agree to take sole responsibility for any activities or actions under your Account, whether or not you have authorised such activities or actions. You will immediately notify the Site of any unauthorised use of your account and provide all relevant information.
  4. Site Terms of Use

    1. You must comply with the Site's Terms and any other applicable policies. MeGuideU may amend the Terms and policies from time to time. You will be informed of any changes to these Terms and policies via email and through the Site. You agree that any continued use of the Site after such amendment will constitute your acceptance of an agreement to be bound by the modified Terms and policies.
    2. You acknowledge and agree that you are solely responsible for any content that you make available through the Site ("Guide Content"). You warrant that:-
      1. you either are the sole and exclusive owner of all Guide Content that you make available through the Site, or you have all rights, licenses, consents and releases that are necessary to grant to us the rights in such Guide Content, as contemplated under these Terms; and
      2. neither the Guide Content nor your posting, uploading, publication, submission or transmittal of the Guide Content or our use of the Guide Content (or any portion thereof) on, through or by means of the Site, will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
    3. By making available any Guide Content on or through the Site you hereby grant us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free licence, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Guide Content on, through, or by means of the Site.
    4. You understand that you shall remain responsible for any content posted by you on the Site and agree not to cause, nor knowingly allow others to cause, any nuisance, annoyance, or inconvenience, whether to the Site or any of its Travelers, Guides or visitors of the Site by any means.
    5. You further understand and agree that you shall be solely responsible for compliance with any and all laws, rules and regulations that may apply to the use of the Site. In connection with your use of the Site, you may not and agree that you will not:
      1. use the Site for any commercial or other purposes that are not expressly permitted by these Terms;
      2. copy, store or otherwise access any information contained on the Site for purposes not expressly permitted by these Terms;
      3. infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
      4. interfere with or damage the Site, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
      5. use the Site to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers;
      6. use our Site in connection with the distribution of unsolicited commercial email ("spam");
      7. "stalk" or harass any other Traveler, Guide or visitor of the Site or collect or store any personally identifiable information about any other user other than for purposes of transacting as a Guide;
      8. register for more than one Guide Account on the Site or register for an Account on behalf of another individual;
      9. contact a Traveler for any purpose other than asking a question related to a booking;
      10. when acting as a Guide or otherwise, recruit or otherwise solicit any Guide or other Traveler to join third party services or websites that are competitive to us, without our prior written approval;
      11. impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
      12. use automated scripts to collect information or otherwise interact with the Site;
      13. use the Site, to find a Traveler and then complete a booking of a tour independent of our services, in order to circumvent the obligation to pay any Administration Fees related to the booking of a tour;
      14. post, upload, publish, submit or transmit any content that:
        1. infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
        2. violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
        3. is fraudulent, false, misleading or deceptive;
        4. is defamatory, obscene, pornographic, vulgar or offensive;
        5. promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
        6. is violent or threatening or promotes violence or actions that are threatening to any other person;
        7. promotes illegal or harmful activities or substances; or
        8. would otherwise render us liable or expose us to any proceedings whatsoever;
      15. systematically retrieve data or other content from the Site to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;
      16. use, display, mirror or frame the Site, or any individual element within the Site, any trademark, logo or other proprietary information belonging to us, or the layout and design of any page or form contained on a page, without our express written consent;
      17. access, tamper with, or use non-public areas of the Site, our computer systems, or the technical delivery systems of our providers;
      18. attempt to probe, scan, or test the vulnerability of the Site, our computer systems or network or breach any security or authentication measures;
      19. avoid, bypass, remove, deactivate, impair, descrambler, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party (including another Traveler, Guide or Visitor) to protect the Site;
      20. forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site to send altered, deceptive or false source-identifying information;
      21. attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site; or
      22. advocate, encourage, or assist any third party in doing any of the foregoing.
    6. Caching, hyperlinking to, and framing of the Site or any of the contents are strictly prohibited. MeGuideU reserves all rights to disable any links to, or frames of any site containing inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topics, names, material or information, or material or information that violates any written law, any applicable intellectual property, proprietary, privacy or publicity rights.

  5. Pre-Selection Interview

    1. If a Traveler requests an interview with you as a shortlisted Guide before confirming a booking ("Pre-Selection Interview"), you must reasonably co-operate with the Traveler to facilitate the conduct of the pre-selection interview as soon as practicable. Such interviews may be arranged through any means mutually agreed between you and the Guide, including but not limited to Skype.
    2. You acknowledge and agree that the Site and MeGuideU has no control over and is not responsible for any representations made during the Pre-Selection Interviews.
    3. Note that any representations and assurances made or given and other conditions discussed or proposed during a Pre-Selection Interview are not binding and will not form part of the booking terms unless expressly contained in the your final proposal.
  6. Booking process and fee payment

    1. A Traveler may book a tour on the Site by either (i) posting intended travel plans on the Site or (ii) signing up for pre-planned tours by Guides.
      1. Posting intended travel plans on the Site—The Traveler will post details of his or her intended travel plans, including location, estimated dates of travel, group size, group age and preferred guide requirements on the Site for Guides to review and consider. If you are interested in being a tour guide for the Traveler after reading what he or she has posted, you may contact the Traveler through the Site and provide preliminary comments and proposals. You will have to co-operate with the Traveler to facilitate a Pre-Selection Interview between you and the Traveler at the Traveler’s request. The shortlisted Guide will then negotiate in-principle agreements with the Traveler via the Site’s online messaging system regarding the intended itinerary, fees and other applicable requirements and conditions. The selected Guide will be notified by the Traveler through the Site once an in-principle agreement has been reached.
      2. Signing up for pre-planned tours by Guides—Guides may also post proposed itineraries on the Site. These proposed itineraries will contain details including the location, dates of travel, group size and age requirements. Travelers interested in a particular itinerary posted by a Guide, may contact the relevant Guide, conduct Pre-Selection Interviews and negotiate details of the itineraries with the Guide via the Site’s online messaging system. The selected Guide will be notified by the Traveler through the Site once an in-principle agreement has been reached.
    2. After the steps outlined in Clause 6.1.1 or 6.1.2 have been duly completed, the selected Guide will then prepare a final proposal which contains all relevant information and agreed terms, including the Booking Fee and send the proposal to the Traveler for acceptance via the Site’s online booking form. All final proposals must remain open for acceptance by the Traveler for at least 72 hours. The offer will lapse if the Traveler fails to accept the offer within the prescribed time period. However, the selected Guide may extend the deadline for acceptance if the Traveler fails to confirm the final proposal within the original prescribed time period.
    3. The booking will be confirmed immediately upon successful payment of the Booking Fee. Any changes to the booking following confirmation will be subject to the Site’s cancellation and amendment policies.
  7. Amendments to Confirmed Bookings

    1. You may only amend confirmed bookings in accordance with this Clause 7. .
    2. Amendments to confirmed bookings are subject to the mutual consent of you and the Traveler.
    3. Amendments must be made through the Site’s on-line booking amendment system.
    4. If any Traveler attempts or seeks to effect any amendments to a confirmed booking outside the Site’s on-line booking amendment system, you must direct the Traveler to submit the proposed amendment for acceptance via the Site.
    5. Amendments must be proposed at least 72 hours prior to the Services Start Time. You will be notified of any amendment requests via email and through the Site and you must respond to such requests as soon as practicable.
    6. If the proposed amendment results in any change to the Booking Fee payable, you must inform the Traveler of the adjusted Booking Fee within 24 hours of receiving the amendment request.
    7. If the amendment results in an increase in the Booking Fee payable (the difference being the "Booking Fee Shortfall"), the Booking Fee Shortfall must be paid by the Traveler before confirming the amended booking terms.
    8. If the amendment results in a decrease in the Booking Fee payable (the difference in this case shall be referred to as the "Excess Booking Fee") will be processed in accordance with the following refund provisions:
      1. amendments confirmed at least 72 hours before the Services Start Time, will entitle the Traveler to a 100% refund of the Excess Booking Fee;
      2. amendments confirmed less than 72 hours before the Services Start Time but more than 24 hours before the Services Start Time, will entitle the Traveler to a 80% refund of the Excess Booking Fee; or
      3. amendments confirmed less than 24 hours before the Services Start Time, will not entitle the Traveler to any refund of the Excess Booking Fee.
    9. In the event the Traveler is entitled to a refund of any percentage of the Excess Booking Fee, the balance fee paid shall be deemed the Booking Fee for purposes of calculating the Administration Fee and the Guide fee payable
  8. Booking Cancellation, Punctuality and No-Show by the Guide

    1. MeGuideU takes a strict view towards booking cancellations and no-show events by Guides, as well as to the punctuality of the Guides in attending to confirmed bookings.
    2. Guides who are nonetheless compelled for any reason to cancel a confirmed booking prior to the Services Start Time must notify the Traveler and MeGuideU of this as soon as practicable via the Site's on-line booking cancellation system.
    3. If a Guide fails to arrive at the agreed meeting point, as specified in the on-line booking form ("Services Meeting Point"), 8.3 within 30 minutes of the Services Start Time, the Traveler may also elect to treat this as a no-show event on the part of the Guide.
    4. Guides shall not be entitled to receive any Guide Fee in relation to any confirmed booking which is cancelled by them or where the Traveler has elected to treat the Guide’s failure to turn up within the prescribed time as a no-show event.
    5. Guides who cancel a confirmed booking or are the subject of a no-show event election by a Traveler once within any consecutive 6-month period will receive a stern warning from MeGuideU. Guides who cancel a confirmed booking or are the subject of a no-show event election by a Traveler for more than once within any consecutive 12-month period, will be have their Guide Account suspended for such period as MeGuideU deems fit, or deactivated at MeGuideU’s discretion.
  9. Booking Cancellation, Punctuality & No-Show by the Traveler

    1. 9.1 All cancellations must be made through the Site's on-line booking cancellation system. Travelers may be entitled to a refund of all or part of the Booking Fee paid in relation to any such cancellation. In particular:
      1. Cancellation requests made by Travelers at least 72 hours’ notice prior to the Services Start Time will entitle the Traveler to a full refund;
      2. Cancellation requests made less than 72 hours but more than 24 hours before the Services Start Time will subject the Traveler to a 20% charge of the Booking Fee; and
      3. Cancellation requests made 24 hours or less before the Services Start Time are considered a “no-show” event by the Traveler and will subject the Traveler to a 100% charge of the Booking Fee.
    2. Other than payments made in accordance with the Site's refund provisions, the Site is not responsible for any cancellations by either you or the Traveler, regardless of the circumstances in which the cancellation occurs.
    3. In the event of any refund of the Booking Fee paid pursuant to the above provisions, the balance Booking Fee paid shall be deemed to be the Booking Fee for purposes of calculating any Guide Fee payable. If the Traveler fails to arrive at the Services Meeting Point within 60 minutes of the Services Start Time, you may elect to:
      1. treat this as a no-show event on the part of the Traveler , subject to you having already provided the Traveler with detailed and correct information on the location of the Service Meeting Point, taking reasonable steps to inform MeGuideU of this fact and of your election as soon as practicable after the Services Start Time, furnishing satisfactory supporting evidence if available), and to the MeGuideU duly verifying the above mentioned facts directly with the relevant Traveler, if deemed necessary, in which case you will be entitled to treat the booking as abortive and to depart from the Services Meeting Point but the Traveler shall, nonetheless, be charged the full Booking Fee paid and the Guide shall still be entitled to receive the full Guide Fee; or
      2. waive the delay and proceed with the confirmed booking, subject to appropriate adjustments to the itinerary (to be discussed and agreed between the Traveler and the Guide) to accommodate the delay.
  10. Evidence of Meeting

    1. Upon meeting each other for the first time at the Services Meeting Point, you and the Traveler shall, where reasonably practicable, cooperate with each other to take and to each retain a collective photograph of both you and the Traveler, which shall, as far as possible, be both date and time stamped.
    2. In the event of any dispute concerning a no-show, the absence of such photograph, together with a notification from you to the Site of a no-show on the part of the Traveler, or vice versa, shall be prima facie evidence of that fact.
    3. You may not post any photographs of the Traveler on your Profile Page without the consent of the Traveler.
  11. Complaints by Guides against Travelers and Disputes with Travelers

    1. Guides are solely responsible for their own interactions with Travelers.
    2. The Site accepts no responsibility for any acts or omissions on the part of either the Traveler or the Guide in the course of their interactions with each other or for any injury, loss or damage resulting from such interactions.
    3. If a Guide encounters a Traveler acting or behaving in any way inappropriately or illegally, the Guide should as soon as practicable proceed to lodge a police report with the relevant authorities in the relevant jurisdiction.
    4. Notwithstanding, the Site is interested to monitor the behavior, reputation and/or credibility of the Travelers and any Guide who has filed a police report or who feels a complaint against a Traveler is nonetheless warranted is strongly encouraged to submit a written complaint to MeGuideU (&lquot;complaint@meguideu.com&rquot;), attaching the report, where applicable
    5. If the Site receives a Guide Complaint, it may but is not obliged to conduct an investigations and/or to take such other follow on action as it may deem fit against the relevant Traveler, in its absolute discretion, including suspending or deactivating the relevant Traveler Account.
    6. A Traveler may submit a written complaint to MeGuideU against a particular Guide (&lquot;complaint@meguideu.com&rquot;) if he or she feels that the Guide has acted or behaved inappropriately or illegally.
  12. Guide Fee Payment

    1. Guide Fees will ordinarily be paid to the Guides with [96] hours after the prescribed ending date and time for the provision of any confirmed guide services, as set out in the on-line booking form (&lquot;Services End Time&rquot;).
    2. However, if MeGuideU receives a Traveler Complaint against a Guide, MeGuideU reserves the right to withhold payment to the Guide pending an investigation by MeGuideU or to take such other follow on action as it may deem fit, in its absolute discretion
    3. Guides are required to fully cooperate with MeGuideU in any investigations by the Site into a Traveler Complaint.
    4. If MeGuideU decides to investigate the Traveler complaint and determines, in its sole and absolute discretion, that the complaint has some merit and/or that some violation of MeGuideU’s Terms and/or policies has occurred, MeGuideU may, again in its sole and absolute discretion, take such action as it deems appropriate in the circumstances, including blacklisting or banning the relevant Guide from the Site, withholding any Guide Fee otherwise due to such Guide and/or refunding all or part of such Guide Fee to the relevant Traveler, in the form of goodwill compensation.
    5. Guides who are the subject of Traveler Complaints more than once within any consecutive [6] month period or more than [5] times within any consecutive [12] month period, will be subject to the following provisions:
      1. MeGuideU may impose a processing fee of [US$50] on the Guide, for each such instance of cancellation by the Guide or election by the Traveler (“Processing Fee”);
      2. MeGuideU may suspend the relevant Guide Account, for such period as it deems fit, or deactivate the Guide Account, at its discretion.
    6. In the event MeGuideU imposes any Processing Fee on the Guide, MeGuideU shall, in addition to any other rights or remedies, be entitled to recover the amount due from any retained or future earnings of the Guide.
  13. Guide Responsibilities

    1. Guides warrant and undertake that they:
      1. will obtain and maintain all licences, permits and insurance coverage necessary to fulfill the Guide’s obligations under any confirmed booking
      2. will respond promptly to any queries from Traveler or the Site
      3. are solely responsible for the Traveler’s safety and satisfaction with the tour
      4. will keep all Traveler’s personal information received from the Traveler or the site strictly confidential, and shall not use such personal information for any reason other than to fulfill his or her obligations under the tour booking
  14. Disclaimers & Limitation

    1. You understand that the Site does not provide any guide services itself but is merely a platform for Travelers to source out and engage suitable Guides for their trips or tours. The Site, accordingly, does not make any warranties or representations whatsoever as to the identity, qualifications and/or licensed status, if applicable, of any Guide or regarding the suitability, experience or quality of services to be provided by any Guide
    2. Access and use of the Site is also provided on an `as is’ basis and no warranties are made that the Site is or will be adequate or sufficient for any purpose or will meet the expectations or requirements of any Traveler or will be uninterrupted, timely, secure, error-free or free from computer virus or other invasive or damaging code.
    3. MeGuideU assumes no responsibility and makes no warranties that any of the information contained in the Site, whether published by the Site or by any Guide, Traveler or visitor to the Site, is complete, correct and/or error-free or adequate or sufficient for any purpose.
    4. MeGuideU will under no circumstances be liable for any of the following losses or damage (whether or not such losses where foreseen, foreseeable, known or otherwise):
      1. loss of data;
      2. loss of revenue or anticipated profits;
      3. loss of business;
      4. loss of opportunity;
      5. loss of goodwill or injury to reputation;
      6. losses suffered by third parties; or
      7. (vii) any indirect, consequential, special or exemplary damages,arising from the use of the Site regardless of the form of action.
    5. MeGuideU will under no circumstance be liable for any losses or damage resulting from arrangements made directly between a Traveler and a Guide, the terms of which are not expressly recorded using the Site’s on-line booking system.
    6. MeGuideU will not be responsible for any delays or non-performance of any obligation caused by any force majeure event or any event beyond its reasonable control.
    7. Except for any liability which cannot be excluded by law, MeGuideU shall not be liable to the Traveler for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise, including but not limited to any loss of actual or anticipated profits or income, contracts or business opportunities, claims, costs and expenses whatsoever, whether or not such loss or damage is foreseeable or known.
    8. In no event shall MeGuideU’s aggregate liability to any Guide arising out of or in connection with these terms of use or otherwise in connection with any services or facilities offered pursuant to the Site exceed the Guide Fee actually paid to and received by MeGuideU as part of the Booking Fee from a Traveler.
  15. Release, Waiver and Indemnity Agreement

    1. The Guide shall agree to indemnify, defend and hold harmless MeGuideU, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and actions, due to or arising out of his/her use of the Site, his/her access or connection to the Site, his/her violation of these Terms, or his/her violation of any rights of another. These obligations will survive any termination of his/her relationship with MeGuideU or his/her use of the Site. MeGuideU reserves the right to assume the defence and control of any matter subject to indemnification by the Guide, in which event he/she will cooperate with MeGuideU in asserting any available defences.
    2. The Guide hereby assumes all risks involved in his/her participation in any tour provided by MeGuideU.
    3. The Guide hereby releases, waives, discharges and covenant not to sue MeGuideU, its principals and partners, and its employees and Traveler, and each of them (the “Releasees”) from all liability to the Guide, his/her personal representatives, assignees, heirs and next-of-kin for any loss on account of injury (including death) or damage to property of the Guide arising from or during the provision of the Services.
    4. The Guide hereby agree to indemnify, save and hold harmless the Releasees, and each of them, from any loss, liability, damage or cost that they may incur or losses and damages which may be brought against him/her or against any of them by anyone claiming to be injured (including death) or whose property is damaged as a result of his/her actions arising from or during the provision of the Services.
    5. The Guide shall further expressly agrees that the foregoing Release, Waiver and Indemnity Agreement is intended to be as broad and inclusive as is permitted in the City State of Singapore and that if any portion thereof is held to be invalid it is agreed that the balance of the Agreement shall continue in full force and effect.
  16. Site Administration Powers

    1. MeGuideU has full system administration rights and/or entitlements over the Site including all Guide Accounts.
    2. Without limiting the above, MeGuideU shall be entitled, in its discretion and without liability to the Guide, with or without cause, with or without prior notice and at any time, to:
      1. monitor the usage of any Guide Account and/or the content placed on the Site by any Guide;
      2. suspend, de-activate and/or terminate any Guide Account;
      3. block or restrict any Guide’s access to the Site; and
      4. reject, block and/or remove any content placed on the Site by any Guide.
  17. Effect of Termination/De-activation/Cancellation of Guide Account

    1. Notwithstanding any suspension, de-activation or termination of a Guide Account or any other restriction imposed by the Site on any Guide’s ability to access his account or the Site, such Guide shall remain liable for any accrued debts and/or liabilities owing from the Guide to the Site.
    2. If, upon the de-activation or termination of any Guide Account, MeGuideU holds monies to the credit of such account, the Site will use all reasonable commercial efforts to pay such monies to the Guide by remitting the same to the payment source or account initially used by the Guide to pay the Booking Fee; provided always that if the Site is unable to effect such remittance for any reason (due to the subsequent closure of such initial account or otherwise), the Site shall be entitled to retain the relevant monies as processing costs.
    3. You may cancel your Guide Account at any time by writing an email to info@meguideu.com and state your name and link to your account.
    4. In the event that a Guide Account is deactivated or cancelled, MeGuideU will not be obliged to delete or return to the Guide any Content which such the Guide has posted on the Site, including, but not limited to, any reviews or feedback, but may, in its discretion, continue to display any previously published content by such Guide.
  18. Waiver

    MeGuideU’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. No waiver of any rights or remedies by MeGuideU shall be effective unless made in writing and signed by an authorised representative of MeGuideU.

  19. Force Majeure

    1. Neither the Guide, Traveler or the Site shall be liable for any failure to perform his/her/its obligations under any confirmed tour booking and the Traveler shall be entitled to a refund of the Booking Value paid, if the failure results from a Force Majeure Event (defined below), provided always that whenever possible, the affected party will resume that obligation as soon as the Force Majeure Event occasioning the failure ceases or abates.
    2. For purposes of these Terms and Conditions, a “Force Majeure Event” is an event which is a circumstance or event beyond the reasonable control of a party which affects the general public in that party’s country or in the territory, and which results in the party being unable to observe or perform on time an obligation under this Agreement. Such circumstance or event shall include industrial action or labour disputes, civil unrest, war or threat of war, criminal or terrorist acts, government action or regulation, telecommunication or utility failures, power outages, fire, explosion, natural physical disasters, epidemic, quarantine restrictions, and general failure of public transport.
  20. Jurisdiction

    Your access to or use of the Site, as well as these Terms shall be governed by, and construed in accordance with Singapore laws and you agree to submit to the exclusive jurisdiction of the Singapore courts. This Site is owned and operated by MeGuideU in Singapore. MeGuideU makes no representation that the contents of the site are appropriate or available for use in your location. A Guide who chooses to access this Site from any location does so on his own initiative and shall responsible for compliance with local laws, if and to the extent local laws are applicable.

  21. Severability

    If any part of these Terms is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect.

  22. Assignment

    The Guide shall not assign, transfer or encumber any or all of its rights, interests and obligations under these Terms, by operation of law or otherwise, without the prior written consent of MeGuideU. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

  23. Privacy

    As a Guide, you agree to comply with MeGuideU’s Privacy Policy. Please refer to MeGuideU’s Privacy Policy at http://www.meguideu.com/policies for information and notices concerning MeGuideU’s collection and use of your personal information.
